Welcome to Rural Pros! These Terms of Service ("Terms") govern your access to and use of www.ruralpros.net and all related services, features, and content (collectively, the "Service"). By accessing or using Rural Pros, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

1. Overview of Services

Rural Pros is an online marketplace platform that connects rural communities with local businesses, service providers, job seekers, and workers. Our Service includes:

• Business Directory: A searchable directory of local businesses and service providers
• Job Postings: A platform for posting and browsing job opportunities
• Worker Profiles: Profiles for independent contractors and workers seeking opportunities
• Interactive Maps: Location-based search and mapping features
• Premium Services: Enhanced visibility and features for paid subscribers
• Future Features: Additional tools, resources, and services as we expand our platform

2. Eligibility

To use Rural Pros, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and truthful information when creating listings
• Comply with all applicable local, state, and federal laws
• Not be prohibited from using our Service under any applicable laws or regulations

By using our Service, you represent and warrant that you meet these eligibility requirements.

3. Account and Listings

3.1 Creating Listings

You may create business listings, job postings, or worker profiles by providing the required information through our submission forms. You agree to:

• Provide accurate, current, and complete information
• Update your information promptly if it changes
• Use a valid email address that you check regularly
• Maintain the confidentiality of any magic links or tokens sent to your email

3.2 Listing Approval

All submissions are subject to review and approval by Rural Pros. We reserve the right to:

• Approve, reject, or remove any listing at our sole discretion
• Request additional information or verification before approving listings
• Modify or edit listings to ensure quality and consistency
• Remove listings that violate these Terms or applicable laws

We are not obligated to approve any listing and may reject submissions without explanation.

3.3 Listing Expiration

Free listings expire after 30 days from the date of approval. You will receive an email notification before expiration with instructions to renew your listing. Premium listings (Professional and Featured tiers) remain active for the duration of your paid subscription.

4. Pricing and Payment

4.1 Service Tiers

Rural Pros offers three service tiers for business listings and worker profiles:

• Free Tier: Basic listing with standard visibility, expires after 30 days
• Professional Tier: $100 per year - Enhanced visibility, priority placement, 1-year duration
• Featured Tier: $150 per year - Premium visibility, featured badges, top placement, 1-year duration

Job postings are currently free and expire after 30 days. Pricing for job postings may be introduced in the future with advance notice.

4.2 Payment Terms

• All prices are in U.S. Dollars (USD) unless otherwise stated
• Payment is due at the time of purchase
• We accept major credit cards and other payment methods as available
• Payments are processed securely through third-party payment processors
• We do not store your payment card information

4.3 Subscriptions and Renewals

• Premium subscriptions (Professional and Featured) are annual subscriptions
• Subscriptions automatically renew at the end of each billing period unless canceled
• You will receive a renewal reminder email before your subscription renews
• You may cancel your subscription at any time through your account or by contacting us
• Cancellations take effect at the end of the current billing period

4.4 Refund Policy

• Refunds are provided on a case-by-case basis at our sole discretion
• No refunds are provided for partial subscription periods or unused time
• If your listing is rejected or removed for violating these Terms, no refund will be issued
• To request a refund, contact us at ruralpros@yahoo.com within 14 days of purchase

4.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect existing subscriptions until renewal. We will provide at least 30 days' notice of any price increases.

5. User Conduct and Prohibited Content

You agree to use Rural Pros only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Post false, misleading, fraudulent, or deceptive information
• Impersonate any person or entity, or falsely claim affiliation with any person or entity
• Post duplicate listings or spam our platform
• Use our Service to engage in illegal activities or promote illegal services
• Harass, threaten, or abuse other users
• Attempt to bypass our listing approval process or spam prevention measures
• Scrape, crawl, or use automated tools to extract data from our Service
• Reverse engineer, decompile, or attempt to access our source code
• Interfere with or disrupt our Service or servers
• Transmit viruses, malware, or harmful code

5.2 Prohibited Content

You may not post content that:

• Is illegal, obscene, defamatory, threatening, or hateful
• Infringes on intellectual property rights, privacy rights, or other rights of third parties
• Contains adult content, explicit material, or is sexually suggestive
• Promotes violence, discrimination, or illegal activities
• Contains personal information of third parties without their consent
• Is unrelated to legitimate business services, job opportunities, or worker profiles

5.3 Consequences of Violations

Violations of these Terms may result in:

• Immediate removal of your listings
• Suspension or termination of your access to our Service
• Forfeiture of any fees paid (no refunds for violations)
• Reporting to law enforcement if illegal activity is suspected
• Legal action to recover damages or enforce these Terms

6. Content Ownership and License

6.1 Your Content

You retain ownership of all content you submit to Rural Pros (text, images, logos, etc.). By submitting content, you grant Rural Pros a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute your content for the purpose of operating and promoting our Service.

6.2 Our Content

All content and materials on Rural Pros, including but not limited to logos, designs, text, graphics, software, and trademarks, are owned by Rural Pros (URLPDQ, LLC) or our licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.

6.3 User-Generated Content

You are solely responsible for the content you submit. We do not endorse, verify, or guarantee the accuracy of user-generated content. We reserve the right to remove any content at our discretion.

7. Third-Party Services and Links

Our Service may contain links to third-party websites, services, or resources (e.g., Google Maps, payment processors, business websites). We do not control or endorse these third parties and are not responsible for their content, privacy practices, or terms of service. Your use of third-party services is at your own risk and subject to their terms and policies.

8. Disclaimers and Warranties

8.1 "As Is" Service

RURAL PROS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The Service will meet your specific requirements
• Any content, listings, or information will be accurate, reliable, or complete
• Defects or errors will be corrected

8.2 No Verification

We do not verify the identity, credentials, licenses, certifications, or qualifications of users, businesses, or workers listed on our platform. You are responsible for conducting your own due diligence and verification before engaging with any user or business.

8.3 No Employment Relationship

Rural Pros is a platform for connecting users. We are not a party to any transactions, employment relationships, or service agreements between users. We do not employ, recommend, or endorse any businesses, job posters, or workers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RURAL PROS, URLPDQ LLC, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Emotional distress or reputational harm
• Any damages arising from your use or inability to use our Service
• Any damages arising from interactions with other users
• Any damages arising from unauthorized access to your account or information
• Any damages arising from errors, omissions, or inaccuracies in content

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Rural Pros, URLPDQ LLC, and our affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you submit to our Service
• Your interactions with other users

11. Termination

11.1 Termination by You

You may stop using our Service at any time. You may delete your listings using the magic link sent to your email or by contacting us at ruralpros@yahoo.com.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to our Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or harmful activity
• Non-payment of fees
• Prolonged inactivity
• At our sole discretion

11.3 Effect of Termination

Upon termination, your right to use our Service will immediately cease. Your listings will be removed from public display. We may retain certain information as required by law or for legitimate business purposes.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us at ruralpros@yahoo.com. We will work in good faith to resolve disputes amicably.

12.2 Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky and the United States, without regard to conflict of law principles.

12.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or related to these Terms or our Service shall be brought exclusively in the state or federal courts located in Madison County, Kentucky. You consent to the personal jurisdiction of these courts.

12.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to bring claims as part of a class action, collective action, or representative proceeding.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to active users (for significant changes)
• Displaying a notice on our website

Your continued use of Rural Pros after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Service.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rural Pros regarding your use of our Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at any time without notice.
